End User Agreement

Effective Date: January 1, 2024

This End User Agreement ("Agreement") is entered into between 1016 Industries, LLC ("Company," "we," "us," or "our") and you ("User," "you," or "your") regarding your use of the 1016 Industries Dealer Portal ("Portal" or "Service").

1. Acceptance of Terms

By accessing or using the Portal, you agree to be bound by this Agreement. If you do not agree to these terms, you may not access or use the Portal.

2. Dealer Account

2.1 Eligibility

The Portal is available only to authorized dealers and distributors of 1016 Industries. You must have a valid dealer agreement with 1016 Industries to access the Portal.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Use of the Portal

3.1 Permitted Use

You may use the Portal solely for:

• Viewing product catalogs and pricing
• Placing orders for 1016 Industries products
• Accessing dealer-specific information and resources
• Managing your account and business relationship with 1016 Industries

3.2 Prohibited Use

You agree not to:

• Use the Portal for any unlawful purpose
• Share your account credentials with unauthorized parties
• Attempt to gain unauthorized access to any portion of the Portal
• Interfere with or disrupt the Portal's operation
• Use automated systems or software to extract data from the Portal
• Resell or redistribute Portal access to third parties

4. Pricing and Orders

4.1 Dealer Pricing

Pricing displayed in the Portal is based on your dealer tier and is subject to change. All prices are exclusive of taxes, shipping, and other fees unless otherwise stated.

4.2 Order Terms

Orders placed through the Portal are subject to acceptance by 1016 Industries and our standard terms of sale. We reserve the right to refuse or cancel any order.

5. Intellectual Property

All content in the Portal, including but not limited to text, graphics, logos, images, and software, is the property of 1016 Industries or its licensors and is protected by intellectual property laws. You may not use, copy, or distribute any content without our written permission.

6. Data Integration

6.1 QuickBooks Integration

If you choose to connect your QuickBooks account, you authorize us to access and retrieve inventory and product data for the purpose of synchronizing your catalog and managing orders.

6.2 Third-Party Services

Your use of integrated third-party services is subject to their respective terms and privacy policies.

7. Confidentiality

You agree to maintain the confidentiality of all proprietary information accessed through the Portal, including pricing, product specifications, and business terms.

8. Disclaimers and Limitations

8.1 Service Availability

The Portal is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation of the Portal.

8.2 Limitation of Liability

To the maximum extent permitted by law, 1016 Industries shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Portal.

9. Indemnification

You agree to indemnify and hold harmless 1016 Industries, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Portal or violation of this Agreement.

10. Termination

We may terminate or suspend your access to the Portal at any time for any reason, including violation of this Agreement or termination of your dealer agreement.

11. Governing Law

This Agreement shall be governed by the laws of the State of California, without regard to its conflict of law provisions.

12. Changes to Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes through the Portal or by email. Your continued use of the Portal constitutes acceptance of the modified Agreement.
